The boards responsibility is to the company...

not the shareholders. They are given the job as directors to do what's best for the company. The shareholders can remove them if they think they aren't doing a good job though. Who is on the board exactly and what position do they each hold? I believe they can remove Worthy without consulting the shareholders.
