His actions have to be in good faith in the best interests of the company. There's no benefit to Man Yoo in having a new debt of ?500m without actually getting their hands on the money!
Anyway, company law not really my field. But I'm pretty sure it's not as simple as him just being able to say "my debts are now Man U's debts"
