To Attanassio. I think the hold up is because takeover panel are not happy with the waiver meaning no offer has to be made to minority shareholders. The takeover panel is concerned with protecting the interests of minority shareholders . However if shareholders accepted the price offered and MA bought all the share allocation this would take him over the equal share holding that Delia desires.

Whilst it could be MA demanding this I suspect he is only doing so as it was a condition of D&M issuing the shares in the first place!!
