The precise number of shares issued is likely to mean Delia & M and MA both have a 40 % shareholding . As D&M don’t want to relinquish control a whitewash waiver is needed from the takeover panel to ensure no offer is made to minority shareholders for additional shares. This is likely to be causing Malory issues with the Takeover Panel whose main responsibilities include safeguarding the interests of minority shareholders.
