If Foulger wants to sell his shares then he can do so, even if this goes against what D&M want.
Buying Foulger's shares will not give an automatic seat on the board.
Example - Jimmy Jones was not invited onto the post-Chase board by Delia, BITD. Also Watling was not on the board when he bought Chase out.

See first point above, why are there talks with the club about just buying a block of shares? This suggests that the deal is about more than just Foulger's block.
