Majority shareholders have control
They appoint directors. So if they disagreed with the other directors then they are able to hold an EGM and remove or change directors. Of course any director would know this.
However what is the point in a shareholder appointing a director and then threatening to remove him if they did night like a decision, they might as well not appoint that director
