Non footy i'm afraid - Excel help required...

I'm trying to write a formula do a tally count of occurrences in a list where there are two conditions present.

i.e. only count occurences if condition A = "[text1]" and condition B = "[text2]"

Also,

I would like Excel to highlight the three highest values in a list, by colouring in the cell.

Can anyone help? As ever, quite difficult to find an answer by Googling...
