Texas is a lousy place to be sued in front of a jury, but it's a reasonable jurisdiction in front of judges, at least at higher level
But the question is TIME. H&G don't think they're going to win, I suspect - they just want to f**k around with the Red Sox offer. It takes TIME to unscramble the Texan action and show that it's a pile of poo. And time is what H&G want - they want the Sox to lose interest, they want to put RBS in a spot whereby it gets to its deadline of 15 October and has to decide whether to put Pool into admin (thus losing the 9 points and losing the Sox deal) or allow the deadline to go past (in which case H&G probably get a whole new lease of life)
Which is why an anti-suit might be next on the agenda, since that's something that could be done here (ie the UK) and now (ie today)
Impossible to set the strategy without knowing the details, of course
